Pick Review if you already have a draft Sale Agreement and want a lawyer to check it before you sign.
For Buyer
The sale agreement is where the real terms of your property deal live - price, payment schedule, possession date, what happens if either side backs out. Get yours drafted from the ground up around your specific deal, or have a copy the builder or seller has already sent you reviewed clause by clause before you sign anything.
Pick Review if you already have a draft Sale Agreement and want a lawyer to check it before you sign.
Pick Drafting if you're starting from scratch — our lawyers prepare a complete, ready-to-sign Sale Agreement for you.
Pick Registration if you have a ready Sale Agreement and need it filed with the Sub-Registrar.
A sales agreement is a contract between a buyer and seller that records the terms on which a property will be sold at a future date. It generally specifies the property, agreed price, payment schedule, possession timeline, obligations of both parties and consequences of default. NoBroker provides separate Sale Agreement services depending on where you are in the transaction. You can get an existing agreement legally reviewed, have a customised agreement drafted from scratch, or obtain assistance with registration when the document is ready for execution.
“Put the deal in writing before money and property change hands.”
The property sale agreement is often signed after a buyer has already paid a token amount, negotiated the purchase price or started arranging a home loan. At that stage, vague or one-sided terms can have real financial consequences.
A properly drafted agreement records what both sides are expected to do before the final sale. It can clarify what happens if the loan is delayed, the seller cannot produce the required documents, possession does not happen on time or either party decides not to proceed.
Under Section 54 of the Transfer of Property Act, 1882, a contract for sale records that a sale will take place on terms settled between the parties but does not, by itself, create an interest in or charge on the property. The final transfer of ownership occurs through the legally required conveyance.
A good agreement should reflect the actual commercial arrangement rather than simply reproduce a standard sale agreement format.
Important provisions generally include:
A generic property sale agreement template can be useful for understanding the structure, but clauses concerning payment, possession, title and default should be adapted to the specific transaction.
NoBroker currently offers Review, Drafting and Registration as three separate Sale Agreement services. The right option depends on whether you already have an agreement and how far the transaction has progressed.
| Your Situation | Service | What You Get |
|---|---|---|
| Seller or builder has already shared an agreement | Review | Lawyer checks the existing agreement before you sign |
| Terms are agreed but no suitable agreement exists | Drafting | Customised agreement prepared from scratch |
| Agreement is ready for registration | Registration | Assistance with stamp duty, SRO appointment and registration formalities |
The Review service is suitable when you already have a draft prepared by the seller, builder or another lawyer.
NoBroker's current Review package includes clause-by-clause analysis, identification of risks and loopholes, a compliance review and a detailed written review report. View Sale Agreement services
A legal review can identify issues such as:
The purpose is not merely to correct language. It is to understand the legal and financial effect of what the sales agreement contract requires you to do.
Drafting is appropriate when the buyer and seller have agreed on the main commercial terms but still need a formal agreement.
NoBroker's current Drafting service includes an initial lawyer consultation, preparation from scratch, customisation of clauses, internal legal review and delivery of a final ready-to-sign draft. View Sale Agreement services
Before drafting begins, the lawyer should understand:
A land sale agreement, resale-flat agreement and sale agreement for house should not automatically use identical clauses because the property and transaction risks can differ.
Registration is intended for customers who already have a sale agreement ready and require help completing the applicable registration formalities.
NoBroker's current Registration service includes Sub-Registrar appointment booking, stamp duty and fee guidance, document-submission support and handover of the registered copy. View Sale Agreement services
Whether an agreement to sell property must be registered depends on the type of agreement, possession arrangements, applicable state law and the legal purpose for which the agreement will be relied upon.
Section 17(1A) of the Registration Act, 1908 requires registration of specified contracts relied upon for the protection contemplated by Section 53A of the Transfer of Property Act. Registration requirements can also be affected by state amendments. Read more
For projects covered by RERA, the promoter cannot accept more than 10% of the cost of the apartment, plot or building without first entering into a written and registered agreement for sale with the allottee.
Some of the most important points are easier to correct before the agreement is signed.
Survey number, unit number, area, boundaries, parking and other identifying information should correspond with the title and project documents.
Check when payments become due and whether they are linked to loan sanction, construction milestones, document delivery or registration.
A buyer using a home loan should avoid agreeing to payment deadlines that cannot realistically be met if bank disbursement is delayed.
The agreement should address the seller's authority to sell and how an existing loan, mortgage or other encumbrance will be cleared.
A Sale Agreement Review is not necessarily a substitute for separate property-title verification where the buyer requires a detailed investigation into ownership.
The document should clearly state when and under what conditions possession will be handed over.
Do not wait for the deal to fail before checking the cancellation provisions. The agreement should explain what happens to the advance if the buyer defaults, the seller defaults or the transaction cannot be completed because an agreed condition is not satisfied.
NoBroker's own Sale Agreement page specifically highlights payment schedules, encumbrance clauses, cancellation penalties and possession timelines as areas that commonly create problems when agreements are signed without adequate review. View Sale Agreement services
Requirements differ according to whether you are booking Review, Drafting or Registration.
Common documents can include:
You may also need:
Documents relevant to drafting were already an important part of the earlier approved structure because the agreement needs to reflect the correct owner, property and transaction.
Not every property purchase agreement should be drafted in exactly the same way.
A resale agreement may need provisions concerning existing society dues, maintenance, parking, original title documents, outstanding home loans and the date on which the seller will vacate the property.
Builder transactions can involve construction-linked payment schedules, RERA disclosures, carpet area, specifications, completion timelines and possession obligations.
NoBroker's live service page also identifies carpet area, delay compensation and specifications as important points to review in builder-buyer agreements. View Sale Agreement services
A land sale agreement may require particular attention to survey details, measurements, access, boundaries, land classification and possession.
The agreement may need to clearly describe both the underlying land and the construction being transferred along with it.
The agreement should therefore follow the property rather than forcing every transaction into the same template.
The two documents perform different functions.
| Basis | Sale Agreement | Sale Deed |
|---|---|---|
| Purpose | Records the terms of the proposed sale | Completes the transfer |
| Timing | Usually signed before completion | Executed at the final transfer stage |
| Ownership | Does not itself transfer title | Transfers ownership through the registered conveyance |
| Key terms | Price, payment, possession, conditions and default | Final transfer, consideration and property particulars |
| Next step | Leads towards completion | Records the completed conveyance |
The distinction matters because paying money or signing a sale agreement does not, by itself, make the buyer the legal owner. Read more
A sale agreement should anticipate this possibility.
A transaction may fail because the buyer cannot arrange funds, the seller does not produce clear documents, a loan is rejected, a title problem is discovered or either party breaches an agreed condition.
Whether the agreement can be terminated and what happens to the advance depend substantially on its terms and the circumstances. Mutual cancellation is generally possible where both parties agree. Where only one party wants to terminate, the contractual default and remedy provisions become particularly important. Read more
That is why refund, forfeiture and cancellation clauses should be reviewed before the token amount becomes financially significant.
Signing the agreement is usually an intermediate stage rather than the end of the transaction.
Depending on the property, the next steps may include:
NoBroker's wider buyer legal-services offering covers this broader journey, including title verification, agreements, transfer deeds, registration and subsequent property-record services. View buyer legal services
There is no single nationwide charge for drafting or registration.
NoBroker currently prices Review, Drafting and Registration as separate services, with the applicable package price displayed before booking. Government expenses such as stamp duty and registration charges are separate. View Sale Agreement services
Timelines also depend on the selected service. Drafting and review primarily depend on document readiness and legal processing, while registration can additionally depend on appointment and government-office availability.
NoBroker's current standard legal-service flow covers document collection, legal drafting, customer review, stamp-paper preparation where applicable and execution or delivery. The timelines shown on the service page are indicative rather than guaranteed statutory periods. View Sale Agreement services
The Sale Agreement service is designed around the stage of your transaction rather than offering one generic package.
If you have a draft: NoBroker can review the clauses, identify risks and provide a written legal assessment.
If you need a document: A lawyer can prepare the agreement based on your transaction and customise the clauses before issuing the final draft.
If the document needs registration: NoBroker can assist with the applicable SRO appointment, government-fee guidance, document submission and registered-copy handover. View Sale Agreement services
NoBroker's broader legal platform also provides a dedicated lawyer and relationship manager, case tracking and support across different stages of the property purchase. View Sale Agreement services
A sale agreement determines much of what happens between paying the initial amount and finally receiving ownership of the property. Price is only one part of it. Payment conditions, documents, possession, cancellation and default can become equally important if the transaction does not proceed exactly as planned.
Whether you need an existing draft checked, an agreement prepared from scratch or support taking the document through registration, selecting the right legal service before signing can prevent uncertainty later.
