As far as I know, an unregistered agreement to sell is legal and enforceable in court for 3 years from its execution date. Once a sale deed is validly registered, it conclusively transfers legal title to the buyer under Section 54 of the Transfer of Property Act, 1882. An earlier unregistered “agreement to sell” has no independent effect in transferring title and cannot override the registered deed.
It may be used only as evidence of contract or for specific performance, but not to claim ownership. If the registered deed reflects the terms agreed and all conditions are fulfilled, the unregistered agreement loses practical importance in determining ownership. The buyer’s rights rest on the registered deed, not the prior agreement.
