Recently, my brother asked me, should non disclosure agreement be notary? I wasn’t sure about it, so I asked my legal friend. She said a Non-Disclosure Agreement or NDA is a legally binding contract that protects confidential information between parties. In India, notarization of an NDA is not mandatory, but it can add extra legal credibility. I have shared more details she informed me.

Is It Mandatory to Notary Non Disclosure Agreement?

Notarise and witness signature on the Non Disclosure Agreement are not required. An NDA is valid if both parties properly signed it, even without notarization. It must meet the requirements of the Indian Contract Act, 1872, i.e., free consent, lawful object, and mutual agreement.

  1. E-signatures or physically signed NDAs are legally enforceable under the Information Technology Act, 2000.

  2. If the NDA involves high-value confidential information, notarization can serve as additional proof of execution. In case of disputes, a notarized NDA holds stronger evidentiary value in court. It can prevent claims of forgery or fraud.

  3. Draft the NDA on stamp paper (value depends on state laws). Get it signed by the parties. Visit a Notary Public, who will verify identities and attest the document.
