Generally, a registered sale agreement validity period for immovable property does not have a fixed lifetime. But its enforceability under law is tied to limitation rules and the terms agreed by the parties. 

If your sale agreement does not specify a performance period, then, as a rule of law, the Limitation Act 1963 applies. Under Article 54 of the Limitation Act, the limitation period to file a suit for specific performance or to enforce the agreement is three years from either:

  1. The date fixed in the agreement for performance of the contract, or

  2. If no date is fixed, from the date when the party seeking enforcement has notice that the other party refused to perform.

This effectively means the sale agreement is valid and enforceable for about 3 years, unless the contract itself sets a different timeline.

How Many Years Is a Sale Agreement Valid in India?

The length of time is determined by the conditions specified in the contract as well as the relevant Indian restriction laws.

  1. If the contract clearly states a deadline for performance, for example, requiring the buyer to complete registration within a certain number of months, then the stipulated period becomes the effective validity period for taking action.

  2. After that period passes, and if obligations aren’t met, you generally must act within the three-year limitation window.

A registered sale agreement doesn’t automatically extend the limitation period. The same three-year rule applies for enforcement unless otherwise agreed.

After three years, you typically lose the legal right to compel specific performance in court — though some remedies like refund of advance or alternative civil claims may still be available based on facts and terms. Hope you found this information useful.
